03-27-2015

Dear Valued Customers,

It is with great pleasure that we would like to announce a significant change that has taken place regarding the ownership of Superwinch on Tuesday, March 24th. On this date Kinderhook, Inc. purchased all equity interest from Islington Capital Partners and the other Superwinch owners. Islington Capital Partners investment in, and participation with, Superwinch since October, 2009 has been an instrumental factor in the improvements and growth we have achieved.

Kinderhook is a successful Private Equity Firm located in New York City and has owned many successful business throughout its history. They have extensive experience in the automotive aftermarket and other related industries and a history of executing successful growth strategies. The management of both Kinderhook and Superwinch strongly feel that the growth experienced during the past few years will not only continue, but be accelerated. Kinderhook has the financial resources to invest in a wide range of growth strategies that will enable the entire Superwinch organization and brand to grow substantially in the short and long term. More information can be forund at www.kinderhookindustries.com.

During the next few weeks and months more information will emerge as the shift to the new ownership takes place. The Superwinch organizations in Dayville, CT and Tavistock, UK will continue to operate as they are currently structured.

I would also like to let you know our President & CEO, Ned Cunningham will retire from Superwinch at the end of this month. This is entirely Ned's decision and reflects his desire to chart a new and exciting future course for him and his wife.

Mr. Cunningham's successor has already been chosen and he will be starting March 30, 2015. His name is Dave Burns and he has an extensive background in numerous industries. More specifically he has significant experience in the winch market where he worked for over 10 years at Warn Industries. Ned will be assisting Dave in his transition over the next few months.

Kinderhook has a strong desire and capability to grow Superwinch in the short and long term. We believe this next phase for Superwinch will be very interesting and prove to be extraordinarily successful. We also feel this acquisition will provide excellent opprotunities for Superwinch's business partners. I may be contacted directly to answer any questions.

Please join me in wishing Ned Cunningham a very well-deserved farewell and welcoming Dave Burns to Superwinch.

Sincerely,

Zach Bohn
